RSE Collection fractional collectibles: what investors should notice

Q1. What do investors in an RSE Collection offering actually purchase?
- The collectible automobile itself
- Membership interests in a specific series tied to one underlying asset
- A share of RSE Collection, LLC as a whole
- A guaranteed claim on the manager's entire inventory
Answer: Membership interests in a specific series tied to one underlying asset. Diligence takeaway: confirm whether you are buying exposure to one series, not the company itself or direct title to the collectible.
Q2. Where does the filing say secondary liquidity might come from, if it exists at all?
- A guaranteed exchange listing with market makers
- The Rally Rd. platform or registered broker-dealers
- Automatic monthly repurchases by the issuer
- A public auction run by the SEC
Answer: The Rally Rd. platform or registered broker-dealers. Diligence takeaway: secondary trading is only contemplated through limited channels, and the filing says there is no guarantee of a market or a market-clearing price.
Q3. Which sequence best matches the filing's order for using offering proceeds?
- Asset cost, brokerage fee, acquisition expenses, offering expenses, sourcing fee
- Brokerage fee, asset cost, offering expenses, acquisition expenses, sourcing fee
- Sourcing fee, brokerage fee, asset cost, offering expenses, acquisition expenses
- Offering expenses, asset cost, brokerage fee, acquisition expenses, sourcing fee
Answer: Brokerage fee, asset cost, offering expenses, acquisition expenses, sourcing fee. Diligence takeaway: the waterfall matters because early fees and costs reduce what is actually deployed to buy the asset.
Q4. How does the filing say Free Cash Flow is allocated after closing?
- It is split immediately 50/50 between investors and the manager
- It first reimburses operating expense obligations, then builds reserves, and only then is split 50/50
- It goes first to the manager, then to reserves, then to investors
- It is retained entirely by the issuer until the asset is sold
Answer: It first reimburses operating expense obligations, then builds reserves, and only then is split 50/50. Diligence takeaway: investors should check whether headline cash flow is available for distribution only after prior claims and reserves are satisfied.
Q5. What single-asset risk does the filing emphasize about each series?
- Each series holds a diversified basket of collectibles
- Each series depends on one collectible automobile and related cash reserves
- Each series is backed by Treasury securities
- Each series can rely on unlimited cross-collateralization from other series
Answer: Each series depends on one collectible automobile and related cash reserves. Diligence takeaway: concentration risk is high because performance, valuation, and monetization all hinge on one asset rather than a diversified portfolio.
